Terms of Service

These Terms of Service (“Terms”) govern access to and use of Urbay Connect (the “Service”), available at app.urbayconnect.com. By creating an account, accepting an invitation or using the Service, you agree to these Terms. If you use the Service on behalf of a business, you represent that you are authorized to accept these Terms for that business, and “you” includes that business.

• You must be at least 18 years old and use the Service for business purposes.
• Accounts are created by Urbay Connect or by invitation from a business owner or administrator. Provide accurate information and keep it up to date.
• You are responsible for keeping your credentials and two-step verification secure and for all activity under your account. Tell us promptly at the address below if you suspect unauthorized access.
• Business owners and administrators are responsible for the team members they invite, the roles they assign and for deactivating access when appropriate.

Urbay Connect helps automotive brokers and salespeople manage leads and customers, deals and pipeline, follow-ups, appointments and calendar, sales and metrics, team members and conversations with customers, including through WhatsApp when a business connects its number, and offers AI-assisted features. We may add, change or remove features over time.

You keep all rights to the information you or your team enter into or receive through the Service, including information about your customers and leads (“Customer Data”). You grant us the rights needed to host, process, transmit and display Customer Data to provide and secure the Service, as described in our Privacy Policy.

You are responsible for Customer Data and for having a lawful basis to collect and use it, including any notices and consents required by applicable privacy, consumer-protection and telemarketing laws.

If you connect a WhatsApp Business number or use SMS through the Service:

• You must comply with the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy, Meta’s Commerce Policy and other applicable Meta terms, and with your SMS provider’s and carriers’ rules.
• You may contact customers and leads only when you have the permission required by law and by those policies (including opt-in where required), and you must honor opt-out requests promptly.
• You are responsible for the content of the messages you send and for using approved message templates where WhatsApp requires them.
• You authorize us to send and receive messages on your behalf through the number you connect and to store them so you can manage your conversations.
• Meta, WhatsApp and SMS providers may suspend or limit your number or account under their own policies; we are not responsible for their decisions.

You agree not to:

• send spam, unsolicited bulk messages or messages to people who have not given the required permission or who have opted out;
• send unlawful, fraudulent, deceptive, harassing or infringing content;
• upload information you have no right to use, or sensitive information the Service is not designed to hold;
• access another business’s data, test or bypass security or permission controls, or interfere with the Service;
• scrape, reverse engineer or resell the Service, or use it to build a competing product;
• use the Service in violation of any applicable law or third-party terms.

Urbay IA can summarize information, draft messages and suggest or propose actions. AI output may be inaccurate, incomplete or out of date. You are responsible for reviewing AI output before relying on it or sending it to anyone. Urbay IA does not send messages to customers and does not change your data without your confirmation.

The Service integrates with third-party services such as Meta/WhatsApp, Google Calendar and others. Your use of those services is governed by their terms and privacy policies. We are not responsible for third-party services, and their availability may change outside our control.

We work to keep the Service available and secure, but it may be interrupted for maintenance, updates or reasons beyond our control. The Service is provided without any uptime commitment unless agreed in a separate written agreement.

Urbay Connect, its software, design and brand are owned by Urbay Connect and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription or authorized use, subject to these Terms. Feedback you give us may be used to improve the Service without obligation to you.

You may stop using the Service at any time and may request deletion of your account and data as described in our Privacy Policy and on our Data Deletion page. We may suspend or terminate access if you breach these Terms, if your use creates risk for others or for the Service, or if required by law or by a connected platform such as Meta.

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that AI output will be accurate.

To the maximum extent permitted by law, Urbay Connect will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities. Our total liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the twelve months before the claim, or one hundred U.S. dollars (US$100) if you have not paid us.

You will defend and indemnify Urbay Connect against claims, damages and costs (including reasonable attorneys’ fees) arising from your Customer Data, your messages, your violation of these Terms or of third-party terms (including Meta/WhatsApp policies), or your violation of law.

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Courts located in Miami-Dade County, Florida will have exclusive jurisdiction over disputes relating to these Terms, unless applicable law requires otherwise.

We may update these Terms. We will post the updated version on this page with a new effective date and, for material changes, notify account owners in the app or by email. Continued use after the effective date means you accept the updated Terms.
